1. Agreement to Terms

These Terms govern your access to and use of the NexoExport website and any services offered, including our "Opportunity Scan," "Market Entry Strategy," and "Managed Local Business Development Team" services.

NexoExport provides strategic consulting services to facilitate market entry and business development between Germany and Brazil. Our services are described in detail on our website and may be further defined in a separate Statement of Work (SOW) or client agreement.

3. No Guarantees of Results

While we strive to provide high-quality, data-driven analysis and strategic advice, we do not guarantee any specific business outcomes, revenue, or success from the use of our Services. Our services are advisory in nature, and all business decisions and their consequences are the sole responsibility of the client.

4. Client Responsibilities

To effectively deliver our Services, you agree to provide timely, accurate, and complete information as requested. You are responsible for all decisions made based on our recommendations and for the implementation of any strategies we propose.

5. Intellectual Property

All content on the NexoExport website, including text, graphics, logos, and methodologies, is the exclusive property of NexoExport and is protected by international copyright and intellectual property laws. You may not use, reproduce, or distribute any content from our website without our prior written permission.

Any deliverables provided to you as part of our Services (e.g., reports, analyses, strategic plans) are for your internal use only. You may not publish, resell, or distribute these.

6. Confidentiality

We will treat all information you provide to us as confidential and will not disclose it to any third party, except as required to perform the Services or as required by law. Similarly, you agree to keep confidential all proprietary information, methodologies, and deliverables we provide to you.

7. Fees and Payment

Fees for our Services will be outlined in a specific proposal or Statement of Work. Unless otherwise agreed in writing, payment is due upon receipt of the invoice. We reserve the right to suspend or terminate Services for non-payment.

8. Limitation of Liability

To the fullest extent permitted by law, NexoExport, its owner, and its affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from your access to or use of the Services. In no event shall NexoExport's aggregate liability for all claims relating to the Services exceed the amount paid by you to NexoExport for the Services in the 12 months preceding the claim.

9. Indemnification

You agree to indemnify and hold harmless NexoExport and its owner from and against any and all claims, liabilities, damages, losses, and expenses, including reasonable legal and accounting fees, arising out of or in any way connected with your access to or use of the Services or your violation of these Terms.

10. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of Germany, without regard to its conflict of law provisions. Any legal suit, action, or proceeding arising out of or related to these Terms or the Services shall be instituted exclusively in the courts of Frankfurt am Main, Germany.

11. Changes to Terms

We reserve the right to modify these Terms at any time. If we make changes to these Terms, we will post the revised Terms on the website and update the "Last Updated" date. Your continued use of the Services after the effective date of the revised Terms constitutes your acceptance of the new Terms.
